You may not use our websites in any way that is unlawful, that infringes a third party’s rights, or that interferes with the operation of the website. The list of prohibited conduct in section 5 is not exhaustive.

4. Accounts and security

4.1 Account creation

Some parts of our websites (notably the paid programmes, the membership areas, and the booking widgets) require you to register for an account or to provide identifying details. The information you provide must be accurate and current. We collect and process this information in line with our Privacy Policy.

4.2 Your responsibilities

You are responsible for keeping your password and any other credentials confidential. You are responsible for any activity carried out under your account, whether or not you authorised it. If you become aware of unauthorised use of your account, contact us at privacy@thestartuprace.com without delay so we can secure the account.

4.3 Our right to suspend or terminate accounts

We may suspend or terminate your account, with or without notice, where you have breached these Terms and Conditions, where we reasonably suspect fraudulent or illegal activity, where the law requires us to, or where we are unable to provide the service for technical or operational reasons. Termination does not affect any rights or obligations that existed before termination.

5. Acceptable use

You must not use any of our websites:

  • to do anything that is unlawful, fraudulent, or harmful;
  • to harass, abuse, or threaten any other user, member, racer, investor, programme participant, or member of our team;
  • to upload or transmit any content that is unlawful, defamatory, obscene, infringing, threatening, or otherwise objectionable;
  • to upload or transmit any virus, worm, trojan horse, ransomware, or other malicious code;
  • to attempt to gain unauthorised access to any part of the website, any account, or any system or network connected to the website;
  • to interfere with or disrupt the operation of the website, including by denial-of-service attacks or by load testing without our consent;
  • to scrape, harvest, or otherwise systematically extract data from the website without our written consent;
  • to use the website to send unsolicited commercial communications;
  • to impersonate any other person, including any of our staff, racers, investors, or programme participants;
  • to use the website to transfer personal data outside the United Kingdom or the European Economic Area without first ensuring an adequate level of protection is in place, as required by UK GDPR and equivalent data protection laws;
  • to circumvent any technical measure we have put in place to protect the website or its users.

We are not obliged to monitor user activity, but we reserve the right to do so where the law permits, and to take such action as we consider reasonable in response to a breach of this section, including suspending or terminating an account, removing content, and reporting the matter to law enforcement.

6. Security and information sensitivity

The website is not a secure means of communication. You should not send us highly sensitive or confidential information through the website (in particular through public-facing forms, comments, or chat), including patentable inventions or trade secrets you wish to keep confidential. Where we need to receive sensitive material from you (for example, in the course of a paid programme), we will provide a secure route for doing so.

We take reasonable technical and organisational measures to protect the website against intrusion, but no system is perfectly secure. If you become aware of a security incident affecting the website or any data you have shared with us, please email privacy@thestartuprace.com so we can investigate and respond.

7. Intellectual property

7.1 Our intellectual property

All content on our websites, including text, images, logos, graphics, video, audio, and the underlying code, is owned by us or by the third parties whose content we license. The Startup Race name and logo, the league table format, the Investment Readiness Constellation, the Golden Buzzer mechanism, and our other proprietary frameworks are protected by intellectual property law.

You may view our published content for personal, non-commercial use, and you may share our public-facing pages by linking to them or by quoting short excerpts with attribution. You may not reproduce, distribute, modify, sell, license, or create derivative works of our content without our prior written consent, except as expressly permitted in these Terms and Conditions or by applicable law.

7.2 Your intellectual property

You retain ownership of any content you submit to us through the website (for example, business plans, financial models, or text submitted via forms or comments). By submitting content to us, you grant us a non-exclusive, royalty-free, perpetual, worldwide licence to use, copy, store, transmit, and display that content for the purposes of operating the website, delivering the services you have purchased, and improving our products. The licence is terminable to the extent the law requires.

You confirm that any content you submit is your own original work, that you have the rights to provide it to us, and that submitting it does not infringe any third party’s rights. We may rely on this confirmation in good faith.

7.3 Cohort and programme content

Where you participate in a cohort, programme, or assessment, content you generate through that participation (your business plan, your league table data, your assessment answers) remains your property. The terms on which we use it are set out in the relevant product-specific Terms and Conditions and in our Privacy Policy.

7.4 Removal of content

We may remove or edit content posted on our websites that breaches these Terms and Conditions, that we reasonably consider unlawful or infringing, or that a third party has notified us infringes their rights. We are not obliged to do so, and our decision not to remove content does not constitute an endorsement of it.

8. Linking to and from the website

8.1 Linking to our website

You may link to our publicly accessible pages from your own website, provided the link is presented fairly and lawfully and does not damage or take unfair advantage of our reputation. You may not frame, mirror, or otherwise present our website as if it were part of yours.

8.2 Links to other websites

Our websites contain links to third-party websites and platforms (LeanSpark, LivePlan, Eventbrite, Stripe, the Magic MRM booking widgets, and others). When you follow such a link, the third party’s own terms and privacy policy apply. We are not responsible for the content, security, or practices of websites we do not control.

9. Disclaimers

9.1 No warranty on website availability

We do not warrant that our websites will be uninterrupted, error-free, or free from viruses or other harmful components. We aim for a high level of availability but cannot guarantee it. We may suspend, withdraw, or restrict access to all or any part of the website without notice for operational, security, or maintenance reasons.

9.2 No professional advice

The content on our websites is for general information. It does not constitute legal, financial, tax, investment, or immigration advice. In particular:

  • Our visa programme pages explicitly state that we do not provide immigration legal advice. We are not a firm of solicitors, a regulated immigration adviser, or a member of the Office of the Immigration Services Commissioner. Decisions about visa applications, Administrative Review, Judicial Review, and timing must be made with the advice of your immigration solicitor.
  • Our investor pages explicitly state that we rely on the self-certification exemptions in Articles 48 and 50A of the Financial Promotion Order, and that nothing on the websites constitutes a financial promotion to anyone other than self-certified investors.

You should obtain independent professional advice appropriate to your circumstances before acting on anything we publish.

9.3 No guarantee of outcomes

We do not guarantee any specific outcome from participation in our programmes or from use of our websites. Specifically, we do not guarantee endorsement, visa approval, business success, investment, league-table position, prize allocation, or revenue performance. Outcomes depend on a wide range of factors, many of which are outside our control.

9.4 Forward-looking statements

Some content on our websites describes plans, projections, or expected outcomes. Forward-looking statements are not guarantees. They reflect our reasonable view at the time of writing and may change.

10. Limitation of liability

10.1 What we do not exclude

Nothing in these Terms and Conditions excludes or limits our liability for:

  • death or personal injury caused by our negligence;
  • fraud or fraudulent misrepresentation;
  • any other liability that cannot be excluded or limited under applicable law (including, for consumers, your statutory rights under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013).

10.2 What we do limit

Subject to section 10.1, our total aggregate liability to you arising out of or in connection with your use of our websites, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed:

  • where you have purchased a product or programme from us, the total amount you have paid for that product or programme in the 12 months preceding the event giving rise to the claim;
  • where you have not purchased a product or programme from us, £100.

10.3 Excluded losses

To the fullest extent permitted by law, we are not liable for any indirect, consequential, special, or incidental loss, including loss of profits, loss of business, loss of opportunity, loss of immigration status, loss of investment opportunity, or loss of data.

10.4 Application to consumers

If you are using our websites as a consumer, the limitations in section 10 apply only to the extent that the law allows them to. They are intended to operate alongside, not in place of, the consumer protections set out in the Consumer Rights Act 2015 and other consumer-protection legislation.

11. Data protection and cookies

The collection, use, storage, and sharing of personal data through our websites is governed by our Privacy Policy. The use of cookies and similar tracking technologies is governed by our Cookie Policy. By using our websites, you agree to the terms of those policies as they apply to you.

You confirm that you have read those policies and understand them. If anything in them is unclear, please contact us at privacy@thestartuprace.com before continuing to use the website.

12. Purchases

Where you purchase a product or programme from us, the purchase is governed by the product-specific Terms and Conditions for that product or programme, by our Refund and Cancellation Policy, and by these Terms and Conditions where they do not conflict with the more specific documents.

In case of conflict, the order of precedence is:

  1. The product-specific Terms and Conditions for the product or programme purchased.
  2. The Refund and Cancellation Policy.
  3. These Website Terms and Conditions.

13. Investor pages

We may update this Refund and Cancellation Policy from time to time. The version in force at the date of your purchase is the version that applies to that purchase. Updated versions will be published on this page with an updated effective date. Where the change is significant, we will let you know by email or by a prominent notice on our websites.

13. How to contact us

Where you visit, view, or interact with our investor-facing pages (the Race Investors page on the main site and the Race Investor sign-up at join.thestartuprace.com), the following applies in addition to these Terms and Conditions:

  • The investor content is communicated under the self-certification exemptions in Articles 48 (high net worth investors) and 50A (self-certified sophisticated investors) of the Financial Services and Markets Act 2000 (Financial Promotion) Order 2005.
  • We rely on those exemptions and treat the investor content as not communicated to any person who has not made a valid self-certification statement.
  • Nothing in the investor content constitutes a personal recommendation or investment advice.
  • Past performance is not a guide to future performance, and the value of investments can go down as well as up.

A separate Investor Privacy Notice and Investor Terms apply to the investor relationship in more detail. Those documents are provided to investors at the point of self-certification.

14. Visa programme pages

Where you visit, view, or interact with our Innovator Founder Visa programme pages (the visa hub on the main site and the four endorsement programme pages at endorsement.thestartuprace.com), the following applies in addition to these Terms and Conditions:

  • Nothing in the visa programme content constitutes immigration legal advice.
  • We are not a firm of solicitors, a regulated immigration adviser, or a member of the Office of the Immigration Services Commissioner (OISC).
  • The information on our pages is for general guidance only. Your immigration position and any decision about your visa application, Administrative Review, Judicial Review, or related matters must be discussed with a qualified immigration solicitor or barrister.
  • A separate Visa Services Agreement governs the contractual side of any endorsement programme you purchase.

15. Suspension and termination

15.1 Termination by you

You may stop using our websites at any time. You may close any account you hold with us by contacting us at privacy@thestartuprace.com. Termination does not affect any rights or obligations that have accrued before termination, including obligations relating to active programmes or paid memberships.

15.2 Termination by us

We may suspend or terminate your access to all or any part of our websites, with or without notice, for any of the reasons in section 4.3, or where we discontinue the relevant part of the service.

15.3 Survival

Sections 5 (Acceptable use), 7 (Intellectual property), 9 (Disclaimers), 10 (Limitation of liability), 16 (Governing law and jurisdiction), and any other provision intended to survive, will survive termination.

16. Force majeure

We are not liable for any failure to perform, or delay in performing, our obligations under these Terms and Conditions where the failure or delay is caused by an event outside our reasonable control, including acts of God, fire, flood, severe weather, war, civil unrest, pandemic, government action, industrial action, failure of telecommunications or internet networks, or failure of utility services. We will use reasonable endeavours to resume normal operations as soon as practicable.

17. Severability and waiver

If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, unenforceable, or illegal, the other provisions remain in full force and effect.

A failure by us to enforce any right under these Terms and Conditions is not a waiver of that right. A waiver of any breach is not a waiver of any subsequent breach.

18. Entire agreement

These Terms and Conditions, together with the Privacy Policy, the Cookie Policy, the Refund and Cancellation Policy, and the relevant product-specific Terms and Conditions, constitute the entire agreement between you and us in relation to your use of the website. They supersede all previous communications, representations, and agreements, whether written or oral. Save for fraud or fraudulent misrepresentation, we have no liability for any representation that is not contained in those documents.

19. Third-party rights

A person who is not a party to these Terms and Conditions has no right under the Contract (Rights of Third Parties) Act 1999 to enforce any of these terms.

20. Governing law and jurisdiction

These Terms and Conditions, and any dispute or claim arising out of or in connection with them or your use of the website, are governed by the laws of Scotland.

You and we agree that the courts of Scotland have exclusive jurisdiction to settle any such dispute or claim. If you are using the website as a consumer in another part of the United Kingdom, you may also bring proceedings in the courts of that part of the United Kingdom; this does not affect our right to bring proceedings against you in your courts.
